Clockwork Home Services Announces Acquisitions of Plumbing, Heating & Air Conditioning and Electrical Franchisees and SuccessWare, Inc.

Expands corporate retail business in the United States

SARASOTA, Fla .– (BUSINESS WIRE) – Clockwork Home Services, Inc. (Clockwork) announced today that it has acquired several successful US plumbing, air conditioning, heating and electrical franchisees. The acquisition of these companies by Clockwork will take effect on July 1, 2007. The acquired companies will operate as wholly owned Clockwork retail units in their respective markets under the One Hour Air Conditioning & Heating, Benjamin Franklin Plumbing and Mister Sparky Electrical brands. Clockwork also announced the acquisition of SuccessWare, Inc., a rapidly growing leader in business software for the residential services industry.

The newly acquired companies are:

* Mitchell Heating and Cooling, Inc. (Avon, OH) dba One-Hour Heating and Air Conditioning
* Climate Select, Inc. (Rocklin, CA) dba One-Hour Heating and Air Conditioning
* Myrtle Beach Heating and Cooling, Inc. (Myrtle Beach, SC) dba One-Hour Heating and Air Conditioning
* Candlelight Heating and Air, Inc. (Denver, CO) dba One-Hour Air Conditioning and Heating
* Candlelight Plumbing, Inc. (Denver, CO) dba Benjamin Franklin Plumbing
* Candlelight Electric Company (Denver, CO) dba Mister Sparky Electrical

Under the agreement, Clockwork acquires ownership, rights and use of the assets, intellectual property, trucks, equipment and offices of the acquired companies. Additional terms were not disclosed.

Mitchell Heating and Cooling, Inc. was founded in 1982 and became a heating and air conditioning franchise company in 2003.

Climate Select, Inc. was founded in 2001 and became a heating and air conditioning franchise company in 2005.

Myrtle Beach Heating and Cooling, Inc. was founded in 1985 and became a heating and air conditioning franchise company in 2004.

Candlelight Electric Company was founded in 1996. In 2005, the company’s plumbing, air conditioning and heating businesses were franchised under the Benjamin Franklin Plumbing and One Hour Air Conditioning & Heating brands. In 2006, Candlelight’s electrical company was franchised under the Mister Sparky Electrical brand.

SuccessWare, Inc., based in Buffalo, New York, was founded in 1993 and has since grown rapidly and successfully to over 700 contractors in almost every state and province in the United States and Canada.

Clockwork currently operates electrical, plumbing, heating and air conditioning franchises within its portfolio of household services franchises.
